Aramark Announces Two Strategic And Transformative Acquisitions — Avendra And AmeriPride Services

PHILADELPHIA — October 16, 2017 — Aramark announced today that it entered into definitive agreements to acquire two companies that will deliver growth and strengthen the company’s competitive position across its portfolio of food, facilities and uniforms businesses.

“Today is an historic day at Aramark as we announce we will join forces with two leading companies that will significantly improve how we service our customers, while expanding our capabilities and scope in critical areas of our business,” said Eric J. Foss, Aramark’s chairman, president and CEO. “We have been executing successfully against our clear and focused strategy and have substantially elevated our operating performance and financial flexibility. These strategic and financially compelling transactions represent the next step in our commitment to drive sustainable shareholder value.”

Avendra: Hospitality Procurement Services Company

Aramark and Avendra LLC have entered into a definitive agreement under which Aramark will acquire Avendra for a purchase price of $1.35 billion, or a net purchase price of $1.05 billion after adjusting for the value of the anticipated tax benefits. Avendra is the leading hospitality procurement services provider in North America, managing nearly $5 billion in annual purchasing spend for over 650 companies at more than 8,500 locations, including over half of the Top 30 hotel chains. Avendra was founded in 2001 by five hospitality leaders: Marriott, Hyatt, Fairmont Hotels, ClubCorp and IHG.

“Combining Avendra’s powerful procurement capability with Aramark’s leading supply chain management expertise will bring increased buying scale and improved service levels to both Avendra’s and Aramark’s customers, while strengthening our industry reach and competitive positioning,” Foss said. “I am excited about the proven talents and deep experience the Avendra team brings to our company and look forward to welcoming them to the Aramark family.”

The merger also creates opportunities for Aramark and Avendra to grow their customer base outside of their traditional industries. Additionally, Aramark anticipates annual procurement cost synergies of approximately $40 million, which it expects will be fully realized by the third fiscal year after closing.

AmeriPride: Uniform, Linen Rental And Supply Company

Aramark and AmeriPride Services Inc. also announced today that they have entered into a definitive agreement under which Aramark will acquire AmeriPride for a purchase price of $1 billion, or a net purchase price of $850 million after adjusting for the value of the anticipated tax benefits. AmeriPride is a leading uniform and linen rental and supply company in the U.S. and Canada, with annual revenue of approximately $600 million.

“AmeriPride is a highly-respected company with a tremendous legacy that will extend and complement Aramark’s uniforms business,” Foss said. “This merger will enable us to enhance our customer service experience, unlock improved efficiencies, develop new career opportunities for employees and deliver value for our shareholders. Our companies share a commitment to world-class service, and I look forward to welcoming AmeriPride to the Aramark family.”

The combination of these two uniform services companies will create a leading uniform services provider with enhanced scale and capabilities, serving nearly 500,000 customers. The transaction will bolster Aramark’s competitive position in the U.S., and immediately establish a strong position in Canada.

Additionally, Aramark anticipates annual cost synergies of approximately $70 million, which it expects will be fully realized by the fourth fiscal year after closing.

Transaction Details

The Board of Directors of Aramark has unanimously approved both transactions, which were also unanimously approved by the Board of Managers of Avendra and Board of Directors of AmeriPride, respectively. The transactions are expected to close by the end of calendar year 2017, subject to customary closing conditions and regulatory approvals.

Aramark will finance the transactions through the issuance of new debt, and has received fully committed financing.

For the Avendra transaction, J.P. Morgan acted as lead financial adviser to Aramark, while Simpson Thacher & Bartlett LLP acted as legal counsel. For the AmeriPride transaction, Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC acted as lead financial advisers and Morgan, Lewis & Bockius LLP acted as legal counsel. Credit Suisse acted as the financial adviser to AmeriPride, while Dorsey & Whitney LLP acted as legal counsel. Goldman Sachs & Co. LLC acted as financial adviser and Latham & Watkins LLP provided legal counsel to Avendra, LLC.

An In-House Show Will Be Held To Mark KARL MAYER’s 80th Anniversary In Changzhou, China, In November

Alongside this machine, an RDJ 5/1 double-bar raschel machine with piezo jacquard technology, also in a gauge of E 24, will be producing a spacer textile with an innovative multicolored design for use as a shoe fabric. A brightly colored ground surface is combined with a discreetly colored cover face with a mesh pattern to produce this striking look. The colored spots showing through create a butterfly-like pattern. All the main pattern elements of the final shoe are incorporated in the mirror images of the two halves of the design. The unveiling of a new machine will also be celebrated at the in-house show in Changzhou — the successful LACE.EXPRESS family is being extended by a new family member.

In the field of warp preparation for warp knitting the DS OPTO will be introduced as a flexible direct warping machine for rigid filament yarns for production from short and sample warp beams to standard block color warp beams.

For those visitors involved in weaving preparation, Karl Mayer will be showing the ISOSIZE as a conventional sizing machine based on a modular design, which can cater for every market demand. Also available to view will be the beaming machine, the size box, and the drying unit as important components of the line. Karl Mayer will also be demonstrating efficient, high-precision technology for the denim sector in the shape of its LONG CHAIN BEAMER. This tried-and-tested machine is used in rope dyeing for converting ropes to yarn sheets of exceptionally high quality.

North Texas Healthcare Laundry Recertified Hygienically Clean 

ALEXANDRIA, Va. — October 16, 2017 — North Texas Healthcare Laundry of Grand Prairie has again achieved Hygienically Clean (HC) Healthcare certification, reflecting its commitment to best management practices (BMPs) in laundering as verified by on-site inspection and its capability to produce hygienically clean textiles as quantified by ongoing microbial testing.

North Texas Healthcare Laundry was first certified in 2014. Recertification confirms the organization’s continuing dedication to infection prevention, compliance with recognized industry standards and processing healthcare textiles using BMPs as described in its quality assurance documentation, a focal point for Hygienically Clean inspectors’ evaluation. The independent, third-party inspection must also confirm essential evidence that:

  • Employees are properly trained and protected;
  • Managers understand regulatory requirements;
  • OSHA-compliant; and
  • Physical plant operates effectively.

To achieve certification initially, laundries pass three rounds of outcome-based microbial testing, indicating that their processes are producing Hygienically Clean Healthcare textiles and zero presence of yeast, mold and harmful bacteria. They also must pass a facility inspection. To maintain their certification, they must pass quarterly testing to ensure that as laundry conditions change, such as water quality, textile fabric composition and wash chemistry, laundered product quality is consistently maintained. Re-inspection occurs every two to three years.

This process eliminates subjectivity by focusing on outcomes and results that verify textiles cleaned in these facilities meet appropriate hygienically clean standards and BMPs for hospitals, surgery centers, medical offices, nursing homes and other medical facilities.

Hygienically Clean Healthcare certification acknowledges laundries’ effectiveness in protecting healthcare operations by verifying quality control procedures in linen, uniform and facility services operations related to the handling of textiles containing blood and other potentially infectious materials.

Certified laundries use processes, chemicals and BMPs acknowledged by the federal Centers for Disease Control and Prevention (CDC), Centers for Medicare and Medicaid Services, Association for the Advancement of Medical Instrumentation, American National Standards Institute and others. Introduced in 2012, Hygienically Clean Healthcare brought to North America the international cleanliness standards for healthcare linens and garments used worldwide by the Certification Association for Professional Textile Services and the European Committee for Standardization.

Objective experts in epidemiology, infection control, nursing and other healthcare professions work with Hygienically Clean launderers to ensure the certification continues to enforce the highest standards for producing clean healthcare textiles.

Rockline Industries Donates 11,000 Cases Of Personal Care Products To Hurricane Relief Efforts

SHEBOYGAN, Wis. — October 16, 2017 — Rockline Industries — a manufacturer of coffee filters and consumer, health care, industrial and institutional wet wipes — has donated more than 11,000 cases of personal care wet wipes to Hurricane Harvey, Hurricane Irma and Hurricane Maria relief efforts. The products were offered to help provide comfort and make personal cleanliness and household cleanup easier for the millions of people affected by three hurricanes that hit Texas, Florida and Puerto Rico.

The company facilitated donations through three nonprofit charities who are leading recovery efforts and providing relief to hurricane victims — Good360, International Aid and Sheep Dog Impact Assistance. Rockline’s contribution included a variety of wet wipes such as disposable baby wipes, facial and body care wipes, household cleaning wipes and moist tissues.  Personal cleansing products are not something that families think to pack up and bring in large quantities when they are evacuating and often these comfort items run out quickly. In particular, items like baby wipes and personal cleansing wipes are in high demand.

Filtration 2017 Demonstrates Strength Of Industry Segment Delivers Powerful Connections At Conference And Exposition

CARY, N.C. — October 16, 2017 — INDA’s Filtration 2017 International Conference & Exposition reinforced the strength and importance of this vibrant market segment as more than 1,400 participated at the recently concluded 26th annual event, October 10-12, at Chicago’s Navy Pier.

Professionals came to Filtration 2017 seeking the latest industry knowledge during the robust conference program and the 160-plus attendees filling the conference room to hear from leading expert presenters were not disappointed.

The luncheon keynote address on “Why the Filter Industry is Suddenly So Attractive – A Look at What’s Driving Recent M&A Activity,” by Philip Whitaker, president and CEO of AAF Flanders, provided particularly valuable insights on megatrends impacting filter media usage and this industry’s lag in implementing IIoT.

“The keynote presentation offered an overall picture of the potential future of the filtration industry and was a great reminder of why we’re part of this industry,” said Russ Johnson, head of New Business Development and Strategic Marketing at Freudenberg.

The debate was lively during the panel discussion on ISO 16890: Is This Good or Bad for the U.S. Industry? Moderated by Robert Burkhead, president of Blue Heaven Technologies, the panelists discussed all aspects of this new ISO standard, adopted in Europe and now under consideration in the US to replace the ASHRAE standard for classifying the efficiency of indoor air filters.

Among other conference highlights were a panel on the Industrial Internet of Things on how interconnected smart systems can improve filter change times, increase operational efficiency, and capture new growth.

The event kicked off with the well-attended and highly acclaimed 1.5-day Nonwoven Filter Media Training Course prior to the exposition October 11-12.

Filtration 2017 attracted engineers, product developers, and business managers from up and down the filter supply chain to see the latest technologies from the 140-plus exhibitors. Among the innovations in air and liquid filtration launched at the exposition were:  filter pockets that help lower energy consumption, multi-layer filters from new synthetic materials, filter assembly systems engineered for extreme duty performance, and new intelligent equipment that makes pleats in heavy-duty materials.
